General Counsel

The General Counsel will be part of the senior management team and will be expected to function as a key business partner. The General Counsel will be responsible for providing leadership and strategic legal and business advice in the areas of corporate and regulatory compliance, corporate governance, domestic and international corporate transactions, M&A and corporate finance, capital fund raising, complex litigation management, contracts of every type, and the evaluation, selection and monitoring of outside legal counsel. The General Counsel will provide strategic advice to the senior executive leadership team on observed opportunities and strategic direction.

KEY ACCOUNTABILITIES

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Provide hands-on advice regarding all legal matters affecting the company
Work with business counterparts to provide solutions to legal issues raised in contractual negotiations and on-going programs and develop risk mitigation strategies as appropriate
Draft, structure, review and negotiate strategic and complex commercial agreements and corporate transactions, including highly structured partnerships and complex mergers, acquisitions and dispositions
Advise on various issues such as regulatory compliance, privacy, antitrust and competition laws, advertising/promotional matters, corporate governance, fiduciary duty, ethics and strategic transactions
Manage, support and design company practices, policies and oversight efforts in regulatory compliance
Select, evaluate and manage outside counsel as needed
Manage a team of legal professionals

PROFESSIONAL COMPENTENCIES:

Possess extensive knowledge of the insurance, telecommunications and related industries
Ability to apply combined business and legal judgment to proposed deals, relationships and other matters requiring legal and compliance attention
Ability to develop creative, proactive business solutions to difficult legal problems
Superior critical thinking, analytical, drafting, problem-solving and negotiating skills
Excellent verbal and written communications skills
Ability to communicate and build strong working relationships at all levels of the organization
Ability to analyze corporate contracts, legal agreements, risk management issues and properly protect the company's interest
Ability to effectively leverage the use of outside counsel while controlling costs
Able to work effectively with governmental and other regulatory agencies to protect the best interests of the company
Outstanding leadership and interpersonal skills
Ability to work well both independently and in a team environment
Strong Board presence with experience working with directors
Integrity, excellent legal judgment and business acumen, and the ability to play a significant executive role in the business

QUALIFICATIONS

EDUCATION AND EXPERIENCE:
This position requires a licensed attorney with a J.D. from a highly ranked and accredited law school with excellent academics. In addition, this position requires 10 to 15 years experience combining major law firm followed by in-house experience with much of that as an assistant general counsel or general counsel. A qualified candidate must have extensive experience managing complex mergers and acquisition and other corporate transactions and providing corporate governance advice. IPO experience preferred. Experience handling regulatory actions is also required.
